In the matter of the adoption of the tariff of Lake Lawrence Water Company by South Sound Utility Company, Inc. ) ) ) ) ) ) ) ) ) ) ) ) ) ) ) ) ) DOCKET UW-981199 DOCKET UW-981198 DOCKET UW-981254 ORDER GRANTING APPLICATION ) On September 15, 1998, Lake Lawrence Water Company (Lake Lawrence) filed a transfer of property application to sell and transfer all its water system assets to South Sound Utility Company, Inc., (South Sound). Also on September 15, 1998, South Sound Filed an application to purchase Lake Lawrence Water Company. Both applications were filed pursuant to the provisions of chapter 80.12 RCW. Lake Lawrence serves approximately 290 customers in Thurston County. The terms and conditions of the transfer are set forth in an Agreement to Purchase said water company filed as an exhibit with the applications herein. On October 1, 1998, South Sound filed an application to adopt the current tariff of Lake Lawrence. An adoption of tariff notice was filed with the application. The purchase price of all of the assets of Lake Lawrence is $115,468. The sale price is less than the net book value of the system’s historical cost of $126,001. FINDINGS 1. Lake Lawrence Water Company and South Sound Utility Company, Inc., are public service companies subject to the jurisdiction of the Commission under the provisions of chapter 80.12 RCW. 2. As to form, the applications herein, meet the requirements of chapter 80.12 RCW and the rules and regulations of the Commission adopted pursuant thereto. 3. It appears, upon investigation, that the applications for sale, purchase and adoption are reasonable and consistent with the public interest and should therefore be approved. O R D E R 1. Subject to the conditions of this order, Lake Lawrence Water Company is authorized to sell its assets and South Sound Utility Company, Inc., is authorized to purchase the assets of Lake Lawrence Water Company pursuant to the Agreement to Purchase filed as an exhibit to the applications herein. 2. No material change, revision, or amendment to the agreement shall become effective without the Commission’s prior written approval. 3. Effective October 15, 1998, South Sound Utility Company, Inc., will adopt the existing tariff of Lake Lawrence Water Company. 4. South Sound Utility Company, Inc., shall file with the Commission, within 30 days of final transfer of the transferred water systems, for its prior written approval, the journal entries by which they propose to record on their books the sale and transfer authorized herein. 5. This order shall in no way affect the authority of this Commission over rates, service, or accounts, evaluations, estimates or determination of costs or any matters whatsoever that may come before it, nor shall anything herein be construed as an acquiescence in any estimate or determination of cost, or any valuation of property claimed or asserted.
