BEFORE THE WASHINGTON UTILITIES AND TRANSPORTATION COMMISSION In the Matter of the Application of ) Pentzer Development Corporation ) DOCKET UW-960086 for an Order Authorizing the ) Sale and Transfer of ) AUTHORIZING Spokane Business and Industrial Park ) SALE AND TRANSFER . . . . . . . . . . . . . . . . . . . . ) On January 26, 1996, Pentzer Development Corporation (Pentzer) filed a sale and transfer application with the Commission. The application by Pentzer requests approval of the sale and transfer of the water system associated with the Spokane Business and Industrial Park (Park) to Crown West Realty, L.L.C. (Crown West). The sale and transfer of the Park to Crown West includes all the real estate, leases, and personal property of the Park. The assets of the water system are also included and have not been segregated from the real estate and other assets of Pentzer relating to the Park. Management and operation of the water system will remain essentially the same due to Crown West maintaining the current staff of the Park. Since the sale and transfer filed herein is not inconsistent with the public interest, it is deemed appropriate that the company be allowed the sale and transfer of the Park. FINDINGS THE COMMISSION FINDS: 1. Pentzer Development Corporation, filed an application pursuant to the provisions of RCW 80.12 and the rules and regulations of the Commission for an order approving its application for sale and transfer of utility properties. 2. As to form, the application filed herein meets the requirements of RCW 80.12 and the rules and regulations of the Commission adopted pursuant thereto. 3. The sale and transfer of Spokane Business and Industrial Park is not inconsistent with the public interest. Docket UW-960086 Page 2 O R D E R THE COMMISSION ORDERS: 1. After the effective date of this order and subject to the conditions hereof, the application of Pentzer Development Corporation, filed with the Commission pursuant to the provisions of RCW 80.12 requesting an order authorizing sale and transfer of utility properties to provide service to the public in this state is approved. 2. As a public utility company providing service to the public in this state, Crown West Realty, L.L.C., is subject to the jurisdiction of this Commission under the provisions of Title 80 RCW and all rules and regulations of the Commission adopted pursuant thereto. 3. This order shall in no way affect the authority of this Commission over rates, service, or accounts, evaluations, estimates, or determination of cost or any matters whatsoever that may come before it, nor shall anything herein be construed as an acquiescence in any estimate or determination of cost or any valuation of property claimed or asserted.
